Terms of service

The rules for using pasdiu.com and the Pasdiu app. Plain language, no buried fine print.

Who you are contracting with

Pasdiu is a product built and operated by MTM CYA Corp, trading as MTM Cofounders & Associates (“MTM”), a company incorporated in the United States. Wherever these terms say “we”, “our”, or “Pasdiu”, the contracting party is MTM CYA Corp. You can find the company and its other products at mtmcya.com.

MTM operates several of its own software products. Each has its own terms: accepting these does not bind you to another group product’s terms, or the reverse. MTM may provide the service through affiliated companies or its own personnel without altering your rights or our obligations to you.

Acceptance

By using pasdiu.com or creating a Pasdiu workspace you accept these terms. If you accept on behalf of a studio, agency, or company, you confirm you have authority to bind it and “you” means that organisation. If you disagree with any part, do not use the service.

These terms, together with the privacy policy and any plan-specific conditions you accept at purchase, form the entire agreement between the parties. In case of conflict, the plan-specific conditions prevail, then these terms.

What Pasdiu is

Pasdiu is a client-work logistics hub for media creators: nested projects, task boards, deliverables, versioned review, and a client-facing approval portal. The service is provided on an evolving basis: we add and improve features continuously, and may change or retire functionality with reasonable notice where the change is material. Some features may be offered in beta; those are provided without warranty and may change or disappear.

Pasdiu tracks and links to your media; it is not a media vault. Versions point at files held in storage you control — Drive, Dropbox, Frame.io, or similar — and those files stay under that provider’s terms and your own backup arrangements. We are not a backup service, and losing access to your storage provider is outside our control.

Accounts and responsibility

Using Pasdiu requires an account. In creating one you agree to:

  • Provide accurate information and keep it current.
  • Safeguard your credentials and not share them outside your team.
  • Be responsible for activity under your workspace, including the team members and client reviewers you invite.
  • Be at least 18 and legally able to enter a contract.
  • Tell us promptly if you notice unauthorised use of your account.

Client reviewers are free and unlimited, but they are still users of the service: whoever administers the workspace is responsible for who is invited, what each role can see, and for having the right to share client material with them.

Plans and billing

Plans are priced per workspace, not per seat, and are billed monthly or annually. Annual billing charges twelve months at the price of ten. Client reviewer users are free and unlimited on every plan.

  • Free — $0. Three team seats, three active clients, and the limits shown on the pricing page. No expiry.
  • Studio — $49 per workspace per month. Up to twenty team seats.
  • Agency — $149 per workspace per month. Unlimited team seats, SSO/SAML.
  • Enterprise — custom pricing agreed in writing, with the additional terms set out in that agreement.

Charges are taken in advance at the start of each cycle and renew automatically until you cancel. If you move up a plan mid-cycle, the remainder is prorated. Prices exclude tax; applicable taxes are added at invoice and are your responsibility.

We may change prices with at least 30 days’ notice. New pricing takes effect at your next renewal, so you can always cancel before it reaches you.

Payments are handled by a third-party payment provider; we do not store full card details. If a charge fails we will retry and tell you; if it still does not complete, we may limit or suspend access to paid features until the account is brought up to date.

Plan limits (seats, active clients, active tasks, active deliverables) are ceilings on concurrent use, not metered consumption. If you reach one, we will tell you so you can archive, or move up a plan — we do not bill you for going over without asking.

Cancellation and refunds

Cancel any time from your workspace settings. Cancellation takes effect at the end of the cycle you have already paid for: access continues until then and no further charge is made. We do not refund cycles already begun unless applicable law requires it. After cancellation you can export your data for 30 days, after which we may delete it.

If you contract as a consumer and your national law grants you a right of withdrawal, you may exercise it on the terms and within the periods that law sets, regardless of the above.

Your work stays yours

Briefs, tasks, comments, approvals, and the media you link remain yours and your clients’. You grant us only the licence needed to host, process, and display that content to the people you invite, as part of the service. We may use aggregated, anonymised data — which cannot identify you, your clients, or your work — to improve the product. We do not sell your data, do not share it with other workspaces, and do not train third-party models on it.

You are responsible for having the right to upload or link the content you bring in, and for the rights of anyone who appears in it. Where you invite a client to review material, you confirm you may share it with them. How we handle personal data is set out in our privacy policy.

Acceptable use

In using Pasdiu you agree not to:

  • Upload or link unlawful content, or material you have no rights to.
  • Attempt to access workspaces, data, or systems that are not yours.
  • Reverse-engineer the service, or extract data in bulk by automated means.
  • Resell or sublicense access to third parties without our written consent.
  • Deliberately overload the infrastructure or interfere with its operation.
  • Use the service in breach of applicable sanctions or export controls, or from a country subject to them.

We may suspend or close workspaces that break these rules. Where reasonable we will warn you first and give you a chance to put it right; where the breach poses an immediate risk to the service, to others, or to us, suspension may be immediate.

If you believe content on Pasdiu infringes your rights, write to us with enough detail to identify the material and your claim, and we will review it and act where the claim is well founded.

Third-party services

The service depends on external providers (hosting, email, payments, identity) and integrates with the storage and review tools you choose to connect. We do not control those services and are not responsible for their availability or their terms: your use of them is governed by their own terms and policies. If a third party stops providing something a feature depends on, we may change or withdraw that feature.

Intellectual property

The software, the Pasdiu brand, the product design, and its documentation belong to MTM CYA Corp. These terms grant you a personal, limited, revocable, non-exclusive, non-transferable right to use the service, not ownership of any of those. Third-party and open-source components remain subject to their own licences.

If you send us suggestions, ideas, or comments about the product, we may use and act on them freely, with no obligation to compensate you or keep them confidential.

Availability and warranties

We work to keep the service available, but do not guarantee uninterrupted or error-free operation. There may be maintenance windows, third-party provider incidents, or outages outside our control. To the extent permitted by law, the service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Any service-level commitment applies only where it is stated in a signed Enterprise agreement.

Indemnity

If a third party brings a claim against us over content you uploaded or linked, over your use of the service in breach of these terms, or over an infringement of third-party rights attributable to you, you agree to hold us harmless and to cover the resulting damages, costs, and reasonable defence expenses. We will tell you about the claim promptly and you may take part in its defence. This obligation does not apply to those contracting as consumers where their national law prevents it.

Limitation of liability

To the fullest extent permitted by law, our total liability to you is limited to the amount you paid us in the twelve months preceding the event giving rise to it. We are not liable for lost profits, lost data, lost opportunities, missed deadlines, or indirect, incidental, special, punitive, or consequential damages, even if we were advised they were possible.

Nothing here excludes liability for wilful misconduct, gross negligence, personal injury, or anything else the law does not permit us to limit. If you are a consumer, you keep every right your national law gives you.

Termination

You may stop using Pasdiu at any time. We may suspend or end your access if you break these terms, if the law requires it, or if we discontinue the service — in which case we would give you enough notice to export your data. On termination your right to use the service ends; clauses that by their nature should survive (intellectual property, indemnity, limitation of liability, governing law) remain in force.

Resolving disputes

Before starting any action, both parties agree to try to resolve the dispute in good faith: write to us describing the problem, and we will have 30 days to find a solution. If no agreement is reached, the dispute will be settled by binding arbitration under the rules of a recognised arbitral institution in the applicable jurisdiction.

This clause does not stop either party from bringing a qualifying claim in small-claims court, or from seeking injunctive relief to protect intellectual property. If you contract as a consumer, arbitration is binding only where your national law allows it; otherwise you keep the right to go to the courts of your domicile and to use the alternative dispute-resolution mechanisms that law provides.

Governing law

These terms are governed by the laws of the United States of America and of the state in which MTM CYA Corp is organised, excluding their conflict-of-law rules. If you are a consumer resident in the European Union, the United Kingdom, or Latin America, this clause does not deprive you of the protection of mandatory rules in your country of residence.

Force majeure

Neither party is liable for a failure caused by circumstances reasonably beyond its control: natural disasters, conflict, widespread network or power outages, acts of authority, or serious infrastructure-provider failures. The obligation is suspended while the cause lasts and resumes when it ends.

General provisions

The formalities that rarely matter, until they do:

  • Assignment: you may not assign this agreement without our written consent. We may assign it to an MTM group company or in connection with a corporate transaction, leaving your rights intact.
  • Severability: if a clause is held invalid, it is replaced by the valid clause closest to its purpose and the rest stays in force.
  • No waiver: not exercising a right on one occasion is not a waiver of it later.
  • Notices: we will write to the email on your account or notify you in-app; such a message counts as received.
  • Independence: these terms create no employment, partnership, agency, or franchise relationship between the parties.

Changes to these terms

If we change these terms we will update the date shown above. Material changes will be announced by email or in-app at least 30 days ahead. Continuing to use the service after that date means you accept them; if you disagree, you can cancel before they take effect.
